Terms and Conditions of Sale

1. General Provisions

These Terms and Conditions of Sale govern all commercial transactions conducted through the website www.vcorpintl.com and its online store (the Site) by V-Corp International (“V-Corp,” “we,” “us”) with business customers (“Customer,” “you”).

By placing an order, the Customer fully accepts these Terms. V-Corp reserves the right to modify them at any time, with changes becoming effective upon publication on the Site.

2. Eligible Customers

This Site is designed exclusively for business customers (B2B). By placing an order, the Customer represents and warrants that:

• It acts within the scope of a business or professional activity.
• It has the legal capacity to enter into contracts on behalf of its company.
• It provides truthful, accurate, and complete information regarding its identity and creditworthiness.
• V-Corp may request additional documentation to verify the Customer’s business status.

3. Orders and Acceptance

• All orders are subject to acceptance by V-Corp.
• Initial confirmation does not constitute final acceptance until availability, pricing, and Customer creditworthiness are verified.
• V-Corp reserves the right to reject or cancel orders due to availability issues, typographical errors, or suspected fraud.
• The purchase agreement is perfected when V-Corp sends the acceptance confirmation to the Customer.

For orders paid online, payment is collected at checkout. If V-Corp rejects or cancels an order under this section, the full amount paid will be refunded to the original payment method.

4. Prices and Payment

• Prices are displayed in United States dollars (USD) and do not include taxes, duties, or shipping charges unless otherwise indicated.
• Prices may change without prior notice; the applicable price shall be the one in effect at the time of order acceptance.
• Online orders and quotations: Software licenses and other digitally delivered products may be purchased online by credit or debit card when the order subtotal is below USD 500 and the Customer is located outside the United States. All other orders — including hardware, orders of USD 500 or more, and orders from Customers located in the United States — are processed upon request for a quotation, which will detail the applicable taxes and shipping costs according to the Customer’s region.
• Accepted payment methods: credit/debit cards via Stripe for online orders; bank transfer for quoted orders. Additional payment methods, such as PayPal, may be offered in the future.
• The Customer authorizes V-Corp to charge the total order amount to the selected payment method.
• In case of non-payment, V-Corp may suspend or cancel the order and apply legally applicable late payment interest.

5. Taxes and Duties

• The Customer is responsible for all taxes, duties, fees, and charges applicable in its jurisdiction (VAT, GST, sales tax, import duties).
• For international shipments, the Customer acts as Importer of Record (IOR) and assumes full responsibility for customs clearance.

6. Shipping and Delivery

Shipping conditions are detailed in V-Corp’s Shipping Policy, which forms an integral part of these Terms.

7. Warranty and Limitation of Liability

• Products are covered by the manufacturer’s warranty. V-Corp offers no additional warranties beyond those expressly stated.
• V-Corp shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or business interruption.
• V-Corp’s total liability shall be limited to the amount paid by the Customer for the product in question.

8. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of Florida, United States. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Miami, Florida.
